www.sohojewelers.com is operated by SOHOJEWELERS. Throughout these Terms of Service, the terms “we,” “us,” and “our” refer to SOHOJEWELERS.

By visiting, accessing, or purchasing from www.sohojewelers.com (the “Service”), you agree to be bound by these Terms of Service (“Terms”), including the policies referenced in these Terms. If you do not agree to these Terms, you may not access or use the Service.

Our store is hosted by Shopify Inc., which provides the e-commerce platform that allows us to offer our products for sale.

1. Overview and Online Store Terms

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence.

You may not use our products or the Service for any illegal or unauthorized purpose or violate any applicable law in connection with your use of the Service.

We reserve the right to refuse service, decline or cancel orders, terminate accounts, restrict access to the Service, or modify site content and pricing at any time, subject to applicable law.

2. Incorporated Policies

These Terms incorporate by reference our Privacy Policy, Shipping Policy, and Return and Refund Policy, each as posted on our website.

Your submission of personal information through the Service is governed by our Privacy Policy. Shipping, delivery, returns, refunds, and exchanges are governed by the applicable policies posted on our website.

If a conflict exists between these Terms and a policy addressing a specific subject, the more specific policy will control with respect to that subject.

3. Products, Jewelry and Estate Condition

Estate and Antique Condition: Most items offered through the Service are pre-owned estate, vintage, or antique pieces. They are sold with age-appropriate wear, characteristics, irregularities, and natural patina. Items are generally left unpolished to preserve their historical integrity. Material condition issues observed during our inspection are disclosed to the best of our knowledge. Estate, vintage, and antique jewelry may contain prior repairs, solder, replaced components, restoration, alterations, or other evidence of its history. Not every prior repair, alteration, or condition issue may be visible or detectable during inspection.
Gemstone Grading and Evaluation: Diamonds and gemstones are evaluated and graded while mounted, subject to the limitations imposed by their settings, unless accompanied by an independent laboratory report. Even when a laboratory report is present, the report may have been issued for mounted jewelry and may carry its own setting-related limitations. Mountings may limit the ability to accurately assess weight, measurements, color, clarity, treatments, condition, or concealed portions of a stone. Grading is performed by staff using customary trade practices and formulas. Carat weights, measurements, grades, and other gemstone characteristics are approximate unless expressly stated otherwise. Any laboratory report or third-party appraisal represents only the findings and opinion of the issuing laboratory or appraiser. We do not independently guarantee the conclusions, valuations, grading opinions, or other statements contained in a third-party laboratory report or appraisal. Grading results, valuations, and opinions may vary between laboratories, appraisers, and other qualified professionals.
Gemstone Treatments: Colored gemstones are not assessed for enhancements unless otherwise stated. Because treatment is standard industry practice, enhancements may be present.
Metals and Purity Standards: All items are professionally tested. Gold or other metal purity may be stated as a range when appropriate. In vintage and antique jewelry, purity may vary due to period solder, prior repairs, historical manufacturing methods, and older hallmarking standards that may not align precisely with modern testing. Because historical production and purity-measuring techniques differed from those used today, some variation in modern test results is expected and inherent to antique jewelry.
Measurements, Weights and Dates: Unless expressly guaranteed, dimensions, gram weights, estimated carat weights, chain lengths, ring sizes, dates, periods, and other measurements are approximate. Any estimated age, date, period, origin, or attribution reflects our opinion based on the information reasonably available to us at the time of listing.
No Alterations and Stone Loss: We do not offer custom modifications, alterations, or ring resizing. Items are sold strictly as pictured and described. We are not responsible for damage, changes in condition, or alterations occurring after an item has been resized, repaired, polished, cleaned, restored, or otherwise modified by another person or business. Except to the extent otherwise required by applicable law or expressly covered by our Return and Refund Policy, after delivery we are not responsible for the subsequent loosening, loss, or damage of any diamond, gemstone, pearl, or other component resulting from wear, impact, accidental damage, improper handling, inadequate maintenance, or work performed by another person or business. Customers are responsible for having jewelry regularly inspected and maintained by a qualified jeweler, particularly prongs, settings, clasps, and other components subject to wear.
Jewelry Care: Estate, vintage, and antique jewelry may require more careful handling than newly manufactured jewelry. Certain pieces may not be suitable for continuous wear or exposure to impact, water, chemicals, ultrasonic cleaning, steam cleaning, or other cleaning methods. Customers are responsible for using reasonable care appropriate to the item’s age, materials, construction, and condition.

4. Product Images and Display

We make reasonable efforts to display product images, colors, details, and condition accurately. However, we cannot guarantee that a computer, telephone, tablet, or other device will display colors, scale, texture, or details accurately.

Photographs may be enlarged or taken at close range to show workmanship, gemstones, hallmarks, wear, and condition. Photographs are not necessarily representative of actual size. Customers should review the measurements and specifications provided in the listing.

Lighting, reflections, camera settings, screen settings, and surrounding colors may affect the appearance of metals and gemstones.

Boxes, chains, stands, displays, props, certificates, appraisals, packaging, or accessories shown in photographs are included only when expressly stated in the applicable listing.

5. Availability, Pricing and Order Acceptance

Placing an order and receiving an automated order confirmation do not constitute our final acceptance of the order. All orders remain subject to product availability, payment authorization, inventory confirmation, fraud review, and our final acceptance.

If an ordered item is no longer available, we may cancel the order and refund the applicable payment.

Prices and product descriptions are subject to change without notice. We reserve the right to discontinue any product and to limit sales by person, household, account, geographic area, jurisdiction, or order quantity, subject to applicable law.

6. Billing, Account Information and Fraud Prevention

You agree to provide current, complete, and accurate billing, shipping, payment, account, email, and contact information for all purchases made through the Service.

You agree to promptly update your information when necessary so that we can process transactions and contact you regarding your order.

We reserve the right to refuse or cancel an order, limit quantities, or restrict purchases associated with the same customer account, payment method, billing address, shipping address, household, or other identifying information.

To protect against fraud and unauthorized transactions, we reserve the right to verify buyer identity, request additional information or documentation, delay shipment while verification is completed, limit order quantities, cancel high-risk or flagged orders, or restrict reseller purchases.

Failure to provide requested verification may result in cancellation of the order.

7. Errors, Inaccuracies and Order Cancellations

Occasionally, information on our site or in the Service may contain typographical errors, inaccuracies, or omissions relating to product descriptions, measurements, pricing, promotions, shipping charges, transit times, availability, or other information.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel orders if any information is inaccurate at any time, without prior notice, including after an order has been submitted.

If we cancel a paid order under this section, we will refund the amount collected for the canceled order.

Except as required by law, we undertake no obligation to update, amend, or clarify information on the Service.

8. Shipping and Security

Signatures and Delivery: Signature upon delivery may be required at our discretion for order security and asset protection. Risk of loss passes to the buyer once the carrier’s tracking records show that the package was delivered to the shipping address provided with the order, or was collected by the buyer or an authorized recipient from a carrier location. If a signature is required and no authorized recipient is available at the time of delivery, the buyer is solely responsible for contacting the carrier to schedule redelivery, authorize a hold for pickup, or comply with the carrier’s collection instructions. We are not responsible for delays, missed deliveries, or carrier returns resulting from an unattended delivery attempt.

9. Intellectual Property

All content made available through the Service, including product photographs, videos, descriptions, text, graphics, logos, trademarks, designs, page layouts, and other materials, is owned by or licensed to SOHOJEWELERS and is protected by applicable intellectual-property laws.

You may not reproduce, copy, republish, distribute, modify, sell, license, scrape, download, commercially exploit, or create derivative works from any portion of the Service or its content without our prior written permission.

You may not use our product photographs, descriptions, videos, trademarks, or other content to advertise, list, market, or sell products through another website, marketplace, social-media account, publication, or business.

10. Prohibited Uses

You may not use the Service or its content:

a. For any unlawful or fraudulent purpose;
b. To violate any federal, state, provincial, local, or international law or regulation;

Any comments, reviews, feedback, suggestions, photographs, ideas, or other materials submitted to us may be used, reproduced, edited, published, distributed, translated, and displayed by us without restriction or compensation, subject to applicable law and our Privacy Policy.

You represent that your submissions will not violate any copyright, trademark, privacy, publicity, contractual, or other right of a third party.

Submissions must not contain false, misleading, defamatory, abusive, unlawful, obscene, or malicious material or any virus, malware, or harmful code.

We take reasonable care to describe, inspect, evaluate, and test our items using commercially reasonable procedures appropriate to the type, age, condition, and materials of each item.

Except for any express representations made in an individual product listing and except as otherwise required by applicable law, the Service is provided on an “as is” and “as available” basis. Products are sold in the condition pictured and described in the applicable listing.

Our 10-day return period is not a product warranty and does not provide coverage for wear, accidental damage, stone loss, improper care, inadequate maintenance, or alterations or repairs performed after delivery.

To the fullest extent permitted by applicable law, we disclaim all implied warranties and conditions, including implied warranties of merchantability, fitness for a particular purpose, durability, and non-infringement.

Nothing in these Terms excludes, restricts, or modifies any warranty, right, or remedy that cannot lawfully be excluded, restricted, or modified.

15. Limitation of Liability

To the fullest extent permitted by applicable law, SOHOJEWELERS and its owners, officers, employees, agents, affiliates, service providers, and contractors will not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages arising from or relating to the Service, a product, or these Terms.

Such excluded damages include lost profits, lost revenue, lost savings, loss of data, replacement costs, or similar losses, whether based in contract, tort, negligence, strict liability, or another legal theory, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total liability arising from or relating to any order will not exceed the purchase price actually paid for the item giving rise to the claim.

Where applicable law does not permit a particular exclusion or limitation of liability, our liability will be limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless SOHOJEWELERS and its owners, officers, employees, agents, affiliates, contractors, suppliers, and service providers from any third-party claim, demand, liability, damage, loss, or expense, including reasonable attorneys’ fees, arising from:

a. Your breach of these Terms or any policy incorporated into them;
b. Your misuse of the Service;
c. Your violation of any applicable law; or
d. Your violation of the rights of another person or entity.

These Terms remain effective unless and until terminated by you or us.

You may terminate your agreement to these Terms by ceasing use of the Service.

You will remain responsible for all amounts due through the date of termination.

Any rights, obligations, liabilities, and provisions that by their nature should survive termination will remain effective after termination, including provisions relating to payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, and governing law.

18. Governing Law and Jurisdiction

These Terms and any separate agreements through which we provide products or services will be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the state or federal courts located in New Jersey, and each party irrevocably submits to the personal jurisdiction of such courts.

19. Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforceable to the fullest extent permitted by law.

Any unenforceable portion will be severed from these Terms, and the determination will not affect the validity or enforceability of the remaining provisions.

20. No Waiver

Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

A waiver will be effective only if made expressly in writing by us.

21. Entire Agreement

These Terms and the policies and operating rules incorporated into them constitute the entire agreement between you and SOHOJEWELERS concerning your use of the Service and purchases made through it.

They supersede any prior or contemporaneous agreements, communications, proposals, or representations concerning the same subject matter, whether oral or written.

We reserve the right to update, change, or replace any portion of these Terms by posting the revised Terms on this page.
